The Dental Forum of Milwaukee Minutes January 11, 2019

Call to Order

 

1.  Secretary Report:             Dr. Angela Lueck

·         Officially 48 active members for this program year

·         Attendance roll call

o   Active Members Present:  39 present for business meeting/ 41 for scientific meeting

o   Not present:  7

o   Life:  6

o   Residents:  12

o   Guests:  10

o   RSVP= 40 active members RSVP’d/ 6 Life members

·         Quorum met

·         Business meeting minutes from 11/2/2018 were not read.

·         Correspondence:

o   An email from Dr Jerry Jelacic was received explaining his pending retirement from practice and how this affects his status in the Forum.

o   Written motion received suggesting a change in wording to the bylaws.  Five active members signed the proposed bylaw change.

§  Article II, Section 3 (paragraph 1)  Life Members:  An active member of the Dental Forum in good standing for a minimum of 10 years may apply for Life membership if he/she has reached the age of sixty-five (65) years or has retired from practicing dentistry.  An active member in good standing, yet has not retired, but has reached the age of sixty (60) years and has been a Forum member for at least twenty (20) years, may also apply for Life membership.  Applications for Life membership much be made in writing prior to January 1 of the year the member becomes eligible.  Special circumstances, e.g. Disability may be considered on an individual basis. 

 

2.  Treasurer Report:            Drs John Moser & Andris Jaunberzins

·         Current balances: 

o   Checkbook Balance:  $87,604

o   Centennial Celebration Savings:  $30,086

o   Outstanding Dues:  4 members with outstanding dues

o   Accounts Receivable:  life members owe for past meetings

o   Net Income at End of Fiscal Year Sept 30, 2018:  $24,325.53

o   There has been nothing transferred to savings this year-  Dr John Moser asked if it was 5K or 3K that should be transferred into the Centennial account.  Dr Michael Waliszewski suggested reviewing the budget that passed at 4/2018 meeting.

o   Most of the Kimpton bills paid to date have been paid aside from any additional charges for meeting today

o   Christmas party invoices to be mailed in upcoming week along with invoice for guests for today’s meeting

o   Dr. Moser said that he would prefer to finish out this tax reporting year prior to turning over treasurer duties.  Transfer of these duties continues to be delayed by personal issues and general timing.

 

 

3.  Committee Reports:

 

Program Chairs:   

 

·         2018-2019       Dr Gary Stafford

o   Reminder we are at the Kimpton for the entire program year.  Next meeting will be in the Assembly Hall on the 2nd Floor on January 11, 2018.

·         2019-2020:      Dr. David Kachelmeyer-  List of speakers/ dates listed on website and we reviewed them verbally.  We were reminded that there are continual conversations with 3M to ensure the May 8th meeting date.  This will be an out of town meeting with one over-night stay.

·         2020-2021:      Dr. Matthew Smith- has tentative list and asked members to reach out with any suggestions as well. 

o   Dr Waliszewski asked Matthew Smith to have something more concrete at the upcoming meetings.

 

*  Local arrangements chairperson:     Dr. Bill Crinzi- 

Drs Angela Lueck, Gary Stafford, Bill Crinzi and Jaqlyn Schwartz, from the Kimpton, met after the meeting to go over Dr Crinzi’s role/transition.  Dr Crinzi welcomes any feedback so we can have consistent meetings in the future.

 

 

Finance Committee:              Dr. John Moser (president-elect), Chair

·         Current focus is transition/coordination of treasurer duties with webmaster duties

·         On pace with 2020 budget- we were reminded that the next 2 meeting’s honorarium’s will total $20,000.

·         Need to send 1099 to 2018 speakers/ Dr Moser is considering using Yearli.com and Quickbooks to accomplish the goal.

·         Need to file Form 990 by 2/15/19

o   Dr Moser said that he could take a look at the form and its complexity to see if it is something he would like to tackle himself

o   Dr John Scheels suggests Professional Management of Milwaukee, a CPA firm that has experience with non-profits

o   Dr Michael Waliszewski suggests working with the CPA that Dr Scheels recommends IF Dr. Moser finds year-end too difficult.

 

 

Membership Committee:      Dr Sarah Quesnell, Chair (senior elected member)

 

·         We have 2 open spots from last program year

·         Life membership requests received prior to January 1st, 2019:

o   Steinbach     = APPROVED

o   Lindstrom    = APPROVED

o   Jelacic           = Approved per Bylaws as special circumstance

o   McNamara   = Await membership discussion regarding Bylaw change

 

·         Membership openings for 2019-2020 program year:

o   Six

 

·         Dr Quesnell read aloud the proposed Life member bylaw change

·         Committee recommends the proposed Life member bylaw change as written

·         Dr Quesnell refers discussion regarding Dr Tim McNamara to Dr Michael Waliszewski for discussion during old business

 

o    MAR:                 New membership application deadline

·         Password for members:

·         Official search has begun for a Webmaster replacement for Dr. Moser and there is a lead.  We should be able to announce new webmaster at a future meeting.

·         As we are updating the Forum contact list, please reach out to Dr Moser if you are not receiving invites to meetings.

 

 

Centennial Celebration Committee:            Dr. Michael Karczewski- 

·         November 5-7, 2021  American Club

·         Visit the website where there is a link to the Centennial Celebration

·         There was discussion about updating the list of honorary members so they could be invited to the Centennial celebration, however Dr Karczewski dissuades us from doing this due to cost to Forum if they did attend.

·         Installment payment was made for Forum Centennial Book

 

Golf Outing:              Dr Robert Hafner

·         Golf outing will take place on 6/4/19 at Mequon River Club

·         Please bring a friend/ colleague

·         Putt at each meeting for a chance to enter raffle

Holiday Party:           Dr Angela Lueck

·         75 Attendees at Holiday party at Bacchus

·         All receipts have been given to the treasurer and invoices will go out next week

·         Dr Carolyn Griffin has stepped up to take over as the Holiday Party Chair for 2019.

 

 

4.         Old Business:   

 

·         Correspondence from Dr Tim McNamara

o    He has retired, sold his practice, and as of last month is living in FL

o    He will not be attending any meetings this year

o    He understands that per the bylaws, he would be removed as a member

o    He is currently 2 years short of applying for life membership

o    He would prefer to be a member and DOES plan on attending future meetings, although not on a regular basis

o    He has asked the membership committee to consider his situation

 

·         Debate within membership committee:

o    Unfortunate that we received the request after the start of the program year in which he will not be attending.

 

o    Four basic courses of action

-          Take no action (leading to non-attendance dismissal)

-          Waive attendance requirements for one year (delay decision)

-          Recommend for Life Membership status

-          Recommend for Associate Life Membership Status

 

o    At the November meeting Members made the following comments: 

-          Honorary membership could be an option:  per the bylaws this would be a ‘defacto’ life membership in this instance and therefore does not appear to be a distinct 5th choice.

 

-          follow our bylaws as they are written:  i.e. do not give special exception

 

-          Associate Life Membership category was removed from the bylaws 2 years ago due to non-use, however Dr McNamara did voice disagreement with this move during the discussion.

 

5.         New Business:

 

·         The membership committee met again and makes a new recommendation based upon the received bylaw change request:

o   Approval of submitted bylaw change for life membership category

o   If approved, and if Dr. McNamara is able to complete his obligation this year then he would successfully meet the criteria and be approved for Life Membership.

o   Currently, this would require his attendance at the remaining program year meetings to avoid dismissal.

 

·         The proposed change in Life membership bylaws was reread:

§  As written and if passed, this amendment would take effect immediately for the program year 2019-2020.  The membership committee feels that this change combined with previous changes to the life member requirements would eliminate the need for reinstating the associate life member category.

 

§  Since Dr. McNamara applied for life membership consideration prior to January 1st, 2019 he would be eligible and recommended for life membership status should this bylaw change pass AND he meet his obligations as an active member in good standing.

 

-          Dr Waliszewski reminded the members that we changed the Life member bylaws in recent years to add “An active member of the Dental Forum in good standing for a minimum of ten (10) years may apply for Life membership…..”

-          Dr Waliszewski opened up the motion for discussion reminding members that it would be voted on at the next meeting.

-          Dr Lindsay Knoell asked if this bylaws change would apply to Dr Tim McNamara.  Dr Waliszewski stated that, based upon the Membership committee recommendation and the bylaws Dr McNamara would have to be a member in good standing for this to apply to him.

-          Dr Monica Hebl suggested that the Forum should not have removed the Associate Life Member position last year because both Dr McNamara and Dr Jelacic would have fallen under the category.  Dr Waliszewski reminded members that Dr McNamara did bring up concerns about eliminating the Associate Life Member position although it was never written in our minutes.  Dr Waliszewski replied on behalf of the Membership Committee who recommends the Associate Life Member position not be reinstated.  The associate life member category had not been used to the recollection of any current member and with over 50% turn-over in membership over the past 3 years the odds that it would be used continues to decline.  In addition, Dr. Jelacic’s situation was covered in the current life membership rules.  The previous and current bylaw changes more accurately reflect current trends and fit better with practical procedures.

-          Dr. Hafner asked if Tim was upset because “we do not want to create enemies.”

 

o   Dr Waliszewski asked if there were any objections or further discussion to the Motion to change the Life Member bylaws.  There were none.  Discussion was closed and the motion will be voted on at the next business meeting.

 

o   Dr Shaheda Govani was given the previously saved documents to work on application for Forum AGD “PACE” accreditation.  She will report to membership with updates.

o   Drs Angela Lueck and Carolyn Griffin have volunteered to update the Life Member contact list.

 

6.         Adjournment
